Terms of Service

You must be at least the age of majority in your jurisdiction to use the Services. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

We may modify these Terms from time to time. We will post the updated Terms on this page and update the "Last updated" date. Material changes may be communicated through the Services or by other appropriate means where required. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes or personal, non-commercial use, as applicable.

The Services and their content, features, and functionality (including text, graphics, logos, and software) are owned by TeroMinds or its licensors and are protected by intellectual property laws. Except for the limited license above, no rights are granted to you.

If you engage TeroMinds for consulting, development, or other professional services, the scope, fees, deliverables, and warranties for those services will be governed by a separate written agreement (such as a statement of work or master services agreement). In the event of a conflict between these Terms and such an agreement, the agreement will control for those services.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW.

We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components. Any reliance on information available through the Services is at your own risk.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL TEROMINDS OR ITS AFFILIATES, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (US $100) OR (B) THE AMOUNTS YOU PAID TO TEROMINDS FOR THE SERVICES GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

You will defend, indemnify, and hold harmless TeroMinds and its affiliates, officers, agents, and employees from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of your use of the Services, your violation of these Terms, or your violation of any third-party rights.

The Services may integrate with or link to third-party websites or services. We do not control and are not responsible for third-party content or practices. Your use of third-party services is subject to their terms and privacy policies.

We may suspend or terminate your access to the Services at any time, with or without notice, for conduct that we believe violates these Terms or harms other users, us, or third parties, or for other legitimate reasons.

These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-law rules. Any dispute arising from these Terms or the Services will be brought exclusively in the state or federal courts located in Sheridan County, Wyoming, and you consent to personal jurisdiction there.

The United Nations Convention on Contracts for the International Sale of Goods does not apply.

These Terms constitute the entire agreement between you and TeroMinds regarding the Services and supersede prior agreements on that subject. If any provision is held invalid, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger or sale of assets.
